Zipcar has long been the granddaddy of carsharing programs, and has spent years forming partnerships with colleges, cutting a deal with Ford and working with the Feds to become a vendor in the government's Short Term Rental (STR) program. The company also first turned a profit in late 2011. A history like that was attractive enough to traditional car rental company Avis that Avis today announced it will buy Zipcar for $500 million. Avis is paying $12.25 per share. Zipcar's stock closed at $8.24 on the last day of trading in 2012.

Outwardly, Avis has been slacking in the carsharing business compared to competitors Hertz (with Hertz On Demand) and Enterprise. This deal nicely dovetails an already established network of carsharing vehicles with Avis' fleet, a combination that Tim Worstall, a contributor to Forbes, at least, thinks will be quite beneficial. His reasoning is that Zipcar will now be able to buy cars cheaper because of Avis' discounts, turning a loss (when the vehicles are sold) into a profit. In a statement, available below, Avis and Zipcar say "Avis Budget expects to generate $50 to $70 million in annual synergies as a result of the transaction."

Zipcar was founded in 2000 and today has more than 760,000 members. The company went public in April 2011 with shares at $18.

Avis Budget Group To Acquire Zipcar For $12.25 Per Share In Cash
  • Combined company will be the global leader in car sharing and mobility solutions.

PARSIPPANY, N.J. and CAMBRIDGE, Mass., Jan. 2, 2013 /PRNewswire/ -- Avis Budget Group, Inc. (NASDAQ: CAR) and Zipcar, Inc. (NASDAQ: ZIP), the world's leading car sharing network, today announced that Avis Budget Group has agreed to acquire Zipcar for $12.25 per share in cash, a 49% premium over the closing price on December 31, 2012, representing a total transaction value of approximately $500 million. The transaction is subject to approval by Zipcar shareholders and other customary closing conditions, and is expected to be completed in the spring of 2013. The Boards of Directors of both companies unanimously approved the transaction, and Zipcar shareholders representing approximately 32% of the outstanding common stock have agreed to vote their shares in support of the transaction.

Car sharing has grown to be a nearly $400 million business in the United States and is expanding rapidly in major cities around the world. Zipcar has led this industry, leading in innovation and world-class service. Zipcar now has more than 760,000 members, known as Zipsters, with a market-leading presence in 20 major metropolitan areas in the United States, Canada and Europe, and fleet positioned at over 300 college and university campuses. Zipcar has combined leading-edge technology, an outstanding customer experience, and clear brand messaging to develop strong loyalty and advocacy among its customers.

Avis Budget expects to generate $50 to $70 million in annual synergies as a result of the transaction. In particular, Avis Budget expects significant cost reductions across the fleet life cycle (from procurement to operations and maintenance to disposition, as well as financing), in addition to savings from eliminating Zipcar's public-company costs. Avis Budget also plans to achieve substantial cost savings by increasing fleet utilization across the two companies. Significant revenue growth opportunities exist, including by leveraging Avis Budget's fleet to meet more of Zipsters' weekend demand, which is currently constrained by fleet availability.

These synergies, combined with the expected growth and rising profitability of Zipcar, are expected to make the transaction accretive to Avis Budget's earnings per share in the second year following the acquisition, excluding certain items and purchase-accounting effects.

Following the acquisition, Zipcar will operate as a subsidiary of Avis Budget Group and will continue with its planned move to new headquarters in Boston, Massachusetts. Avis Budget anticipates that key members of the Zipcar management team, including Mr. Griffith and Mark Norman, president and chief operating officer, will continue to set the overall direction and run day-to-day operations of Zipcar.

Avis Budget Group expects to fund the purchase price primarily with incremental corporate debt borrowings, as well as available cash. As of September 30, 2012, Avis Budget Group had cash and marketable securities of approximately $554 million, and Zipcar had cash and marketable securities of approximately $82 million, or approximately $2 per Zipcar share.

Citigroup is acting as financial advisor, and Kirkland & Ellis LLP is acting as legal counsel, to Avis Budget Group. Morgan Stanley is acting as financial advisor, and Latham & Watkins LLP is acting as legal counsel, to Zipcar.


Separately, Avis Budget Group today reiterated its previous estimates of its full-year 2012 results. Avis Budget continues to expect that its full-year 2012 revenue will be approximately $7.3 billion, a 24% increase compared to 2011, and that its 2012 Adjusted EBITDA will be approximately $825 million to $840 million, excluding certain items, an increase of 35% to 38% compared to the prior year. Avis Budget also continues to expect that its 2012 pretax income will be $450 million to $465 million and that its diluted earnings per share will be approximately $2.35 to $2.45, excluding certain items.

      I have to say I'm disappointed. As one of the original Zipcar members (I had a original memebership card that had no logo on it back in 2002 I think). I believed in the cause to help city dwellers live car-free. I'm sad that a local company is now in the hands of Avis.

          I'd hope so. I would have used them in college for sure. I went to school in a valley with two universities of 30k students each...and only in my senior year did Hertz try car sharing with their Connect service. Only three cars available for rent. Ugh...genius. But they were always being used.

      I guess i am confused about the anger of stockholders. They are receiving a 150% above pre announcement stock price for their shares. Without more information it is hard to make a judgement on this one.

        Just a guess, because I seriously have no idea, but perhaps it has something to do with the initial offering price being $18 in 2011. It soared up to $30 soon after the IPO so maybe there are arguments that the shares are undervalued and the company is being sold at too cheap a price to support an argument that the fiduciary duty to the shareholders was not breached. The stock has been in a steady decline since the IPO but just a year ago it was trading over $15/share.

People wonder what happened to American ingenuity it is destroyed by large corporations to make sure their next quarter stock report is where Wall Street wants it.       Rip off merchants car rental firms never have that car you booked up a year ago when you arrive at the rental desk, they they give you a dull boring alternative to your choice that you would never choose in a million years, and then inflate the price of the rental cost you paid by another quarter in charges that were not shown or mentioned on their website when you booked it up. Way forward it to not hire a rip off car with the hidden extras, and stay local whilst on holiday, use the car rental money other things like boat trips, more beer money in the taverna etc.
